Orbitclap is a cloud-based School ERP and management platform designed to help educational institutions manage students, teachers, attendance, fees, examinations, communication, reports, and academic operations efficiently through a centralized digital system.

2. Eligibility

• You must be legally authorized to represent an educational institution or organization.
• You agree to provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of account credentials.
• You agree to comply with applicable laws and regulations.

3. Account Responsibility

• The institution and administrators are responsible for all activities performed through their accounts.
• Unauthorized access or suspicious activity must be reported immediately.
• You must ensure that staff and users access the platform responsibly and lawfully.

4. Data Ownership & Usage

• All academic and institutional data belongs to the respective school.
• Orbitclap does not claim ownership of school data.
• You grant us permission to process data for reports, analytics, communication, security, and service delivery purposes.

5. Intellectual Property

• The Orbitclap platform, software, source code, design, workflows, branding, and infrastructure remain the exclusive property of Orbitclap.
• Users may not copy, resell, reverse engineer, or redistribute any part of the platform without written permission.
• Violations may result in account termination and legal action.

6. Subscription & Payments

• Certain features may require an active paid subscription.
• Subscription fees are generally non-refundable unless stated otherwise.
• Failure to complete payments may result in restricted access or suspension of services.
• Orbitclap reserves the right to revise pricing for future billing cycles.

7. Acceptable Use

Users agree NOT to:

• Use the platform for illegal or fraudulent activities
• Upload harmful, abusive, or misleading content
• Attempt unauthorized access, hacking, or disruption of services
• Distribute malware, automated attacks, or malicious scripts
• Reverse engineer or copy the software infrastructure

8. Security & Data Protection

• We implement industry-standard security practices and encrypted connections.
• Users are responsible for protecting their login credentials and devices.
• Orbitclap is not liable for security breaches caused by user negligence or credential sharing.

9. Service Availability

• We strive to maintain high platform availability and performance.
• Temporary downtime may occur due to maintenance, upgrades, internet issues, or unforeseen technical problems.
• We do not guarantee uninterrupted or error-free service at all times.

10. Suspension & Termination

Orbitclap reserves the right to suspend or terminate accounts if:

• Terms & Conditions are violated
• Subscription payments remain overdue
• Unauthorized or harmful activities are detected
• Security threats or abuse occurs

11. Penalties & Damages

Orbitclap reserves the right to recover reasonable compensation for damages, technical recovery costs, legal expenses, operational losses, or misuse caused by institutions or users violating these Terms.

12. Limitation of Liability

• Orbitclap shall not be liable for indirect, operational, or financial losses.
• We are not responsible for internet failures, third-party outages, or user-caused data loss.
• Total liability shall not exceed the subscription amount paid during the active service period.

13. Changes to Terms

We may update these Terms periodically. Continued use of the platform after updates indicates acceptance of revised Terms & Conditions.

14. Governing Law

These Terms shall be governed under the applicable laws of India.
